You run your own travel business — your premises, your staff, your brand alongside TripFactory’s. We provide the product, platform, and commercial infrastructure. You provide the customer relationships and sales expertise.

Agreement at a Glance

3-Year Initial Term
Runs for 3 years from the Effective Date. Automatic renewal unless either party gives 90 days’ written notice. Annual review of commission rates and targets.

Governed by Indian Contract Act 1872, DPDPA 2023, Consumer Protection Act 2019. Single arbitrator mutually agreed. Bangalore seat.

Non-Exclusive Appointment
TripFactory retains the right to appoint other EPP Partners in the same territory and sell directly. No territory lock-in is provided under this model.
Core EPP Obligations

⚖️ Compliance
  • Hold all required travel agent licences (IATA / TAAI / TAFI)
  • Comply with DPDPA 2023 — full customer data protection
  • GST registration where turnover exceeds ₹20 Lakhs
  • Travel insurance mandatory — advise all Customers
  • All customer payments via TripFactory approved channels only
  • Complete Trip-Ed Induction before processing any booking
Termination Triggers
⚡ Immediate Termination — TripFactory may terminate without notice for:

Fraud or misrepresentation · Payment default or retention of customer funds · Mis-selling · Data protection breach · Repeated Credit Facility Default Events · Criminal conviction · Insolvency · Any act bringing TripFactory into disrepute

📩 90-Day Notice Termination — Either party may exit by giving:

90 days’ written notice at any time. A Termination Fee (equal to remaining monthly platform fees) is payable by the EPP on voluntary early exit during the Initial Term.

Post-Termination Obligations
🚫
Non-Compete — 12 Months
Cannot approach ORN Vacations Customers for competing travel products for 12 months after termination.
👥
Non-Solicitation — 12 Months
Cannot recruit ORN Vacations staff or other EPP Partners for 12 months post-termination.
🗑️
Brand Removal — 7 Days
All ORN Vacations branding must be removed from all digital and physical channels within 7 days of termination.
Additional EPP Terms
🔒 Key Obligations — All EPP Partners

The following obligations are binding on every EPP from the date of signing the EPP Agreement and remain in force for the duration of the Agreement and, where specified, beyond termination.

System Access & Login Security
System access credentials and login details are issued exclusively to the named EPP and are for their use only. Login credentials must not be shared with any third party — including staff, associates, or sub-agents — under any circumstances. Unauthorised sharing constitutes a material breach of the EPP Agreement and may result in immediate termination.

No Sub-Agents Without Approval
The EPP may not appoint any sub-agents or representatives to act on their behalf or within their territory without obtaining prior written approval from ORN Vacations PTE. Any sub-agent appointment made without such approval is void and constitutes a breach of the EPP Agreement.

Exclusive to ORN Vacations PTE
The EPP works exclusively for ORN Vacations PTE in the capacity of Exceptional Partner. The EPP may not represent, promote, or operate as an agent for any competing travel business, tour operator, or holiday provider during the term of this Agreement without prior written consent from ORN Vacations PTE.

Full Access to Company Records
Throughout the term of the EPP Agreement, ORN Vacations PTE shall have full access to all company records of the EPP, including financial statements, sales records, customer data, and marketing materials. This access underpins the ongoing due diligence and monitoring obligations of ORN Vacations PTE and the commission review process.

Data Protection & Confidentiality
All data collected or handled by the EPP in connection with ORN Vacations PTE — including customer data, pricing information, booking records, and proprietary business data — must be fully protected and must not be shared outside of the company or with any third party without the prior written approval of ORN Vacations PTE. All data handling must comply with applicable data protection law.
Territory & Area Rights

Defined Territory
Each EPP is appointed to a defined geographic area at on-boarding. Territory and radius boundaries are documented in Schedule A of the EPP Agreement, taking into account population, sales infrastructure, and market opportunity.

Market Share Priority
Within your defined radius, ORN Vacations gives your EPP business first opportunity to serve leads and clients — enabling you to build considerable and dominant market share before any further appointments are made in that territory.

No Sub-Agents Without Approval
Territory rights are held exclusively by the named EPP. Sub-agents or representatives may not be appointed within or beyond the defined area without prior written approval from ORN Vacations PTE. Area rights are conditional on active trading and meeting performance thresholds.

ORN Vacations commits to giving the EPP first opportunity in their defined territory. This is not a guarantee of exclusivity. ORN Vacations retains the right to sell directly and appoint additional partners where demand cannot be serviced by the existing EPP.
